What You'll Do:
  • Prepare and maintain corporate records, including minute books, resolutions, and governance documentation
  • Draft routine resolutions, minutes, and written consents using approved templates
  • Coordinate execution of governance documents and ensure fully executed copies are retained
  • Track statutory filing requirements and deadlines; collaborate with internal teams and external vendors
  • Maintain and update legal entity organizational charts
  • Support entity formations, dissolutions, and structural changes with outside counsel and internal stakeholders
  • Assist with due diligence, UBO, and KYC requests by gathering and organizing required information
  • Prepare documentation related to capital transactions and other governance matters
  • Maintain treasury and banking records, including credit agreements and authorizations
What You Bring:
  • Bachelor's degree or equivalent experience in legal studies, business, or related field 7+ years of corporate governance experience
  • Strong organizational skills and exceptional attention to detail
  • Ability to manage multiple priorities and deadlines in a fast-paced environment
  • Excellent written communication skills
