We are looking for an associate who is an excellent writer and careful drafter, highly organized, practical, responsive, and comfortable taking ownership of significant pieces of a transaction. The successful candidate will work closely with experienced partners while also developing the judgment and independence necessary to manage matters and communicate directly with clients, opposing counsel, lenders, and other transaction participants. Education and Experience Required: Juris Doctor (J.D.) degree from an accredited law school Active Maine bar membership, or ability to obtain Maine admission within 6-12 months At least 2 years of meaningful corporate or transactional experience Strong drafting and analytical skills, including experience reviewing, drafting, and revising transaction documents and commercial agreements Exceptional attention to detail, including the ability to identify inconsistencies, track open issues, manage document revisions, and maintain accuracy across multiple related agreements Excellent written and verbal communication skills and the ability to communicate effectively and professionally with clients and transaction participants Ability to manage multiple sophisticated matters, competing priorities, and transaction deadlines Sound judgment and a willingness to take ownership of assignments, anticipate next steps, identify issues, and propose practical solutions rather than simply flagging questions Strong organizational and transaction-management skills, including the ability to coordinate diligence, closing deliverables, signature documents, and other components of a transaction Preferred Qualifications: Experience with mergers and acquisitions, including purchase agreements, disclosure schedules, diligence, ancillary agreements, and transaction closings Experience with commercial real estate, lending, or other financing transactions Experience with drafting and negotiating commercial contracts, including terms and conditions of sale, master purchase agreements, and licensing agreements Experience representing privately held businesses, owners, investors, lenders, or other sophisticated commercial clients Experience with healthcare transactions, securities law, and other heavily regulated industries is helpful but not required Experience managing portions of transactions with limited supervision and working directly with clients and opposing counsel Compensation & Benefits: 0-3 years of experience: $115,000 to $125,000 3+ years of experience: $126,000- $151,000 In addition to base salary, all associates are eligible to earn bonuses based on work production, origination, and discretionary factors. Our compensation package is enhanced by comprehensive benefit offerings, including medical, dental, vision, life, and disability insurance, generous paid time off, and a 401k retirement plan with firm contributions.

Before you apply

Applying takes about a minute. These four things decide how fast it moves after that.

Your profile is current

It's what we read first. Occupations, seniority and locations matter more than a long history.

Two examples you can talk through

Not a portfolio — just two pieces of work where you can explain the decisions and what you'd change.

A number in mind

What you're on now and what would make you move. We negotiate better when we know both.

Your notice period

Employers plan around it, and it's the question that stalls offers most often.

Once you apply, someone reads it and calls you before anything reaches the employer — usually within two working days.
