About the role

Our client, a nationally recognized law firm, is seeking a Corporate, M&A & Securities Associate to join its Chicago or Nashville office. This role offers the opportunity to work on sophisticated transactions involving private equity, mergers and acquisitions, securities matters, and general corporate counseling.
Qualifications: 2+ years of corporate transactional experience. Experience with M&A transactions and private equity-backed deals. Exposure to public company reporting, capital markets, or corporate governance matters is a plus. Strong drafting, negotiation, analytical, and communication skills. Excellent academic credentials.
Key Responsibilities: Represent private equity sponsors, portfolio companies, and public and private companies in corporate transactions. Draft and negotiate transaction documents. Conduct due diligence and assist with transaction management. Advise clients on corporate governance and general business matters. Support securities law compliance and public company reporting obligations. Work directly with clients and collaborate across practice groups on complex matters.
