Role Overview: Our client is seeking an experienced renewable energy attorney for a Senior Director, Legal – Renewable Energy Project Finance position with a leading clean energy company. This role offers a seasoned project finance lawyer the opportunity to lead financing negotiations and execution, shape funding strategy, and partner with capital markets and development teams to keep projects financeable throughout development and construction. The position will also manage a team overseeing financing compliance and project funding processes, advise on regulatory and tax credit matters, and support corporate governance activities.
Duties & Responsibilities:
  • Oversee the structuring, documentation, and closing of funding transactions, spanning working capital and construction borrowings, asset securitizations, long-term lending, privately issued securities, credit enhancement mechanisms, and tax equity investments
  • Counsel business stakeholders on funding strategy and regulatory considerations
  • Coordinate legal guidance between capital raising and project development colleagues to preserve access to funding as assets advance through development and construction
  • Advise on qualification criteria and lender and investor diligence requirements, while establishing and updating procedures that support financing activities
  • Direct personnel overseeing adherence to financing obligations and the allocation of projects into funding tranches under various capital structures
  • Support oversight of entity administration, corporate records, and selected board and governance obligations
Qualifications:
  • Extensive experience practicing law at a firm or within a company, with several years focused on financing renewable energy projectsJD or LL.B, with active state bar admission and good standing
  • Sound judgment in translating complex legal issues into actionable guidance aligned with commercial objectives
  • A proactive, professional approach, with the confidence, initiative, and persistence to drive assignments to completion independently
  • Clear written and verbal communication, including when managing others, explaining legal positions, and responding to shifting demands in a rapidly evolving workplace
  • A collaborative mindset that places collective outcomes ahead of individual credit
  • The ability to build productive working relationships across functions and seniority levels
  • Rigorous evaluation of complex matters, resourceful resolution of challenges, and careful attention to detail
  • Disciplined planning and workload management, balancing competing commitments while delivering on schedule
  • Availability for occasional business travel as projects and transactions require
