About the role
Assistant General Counsel We represent a fast growing global P+C carrier in New York City looking to hire an attorney with substantial experience supporting insurance company regulatory, licensing, and corporate insurance matters within a property and casualty insurance company environment. The attorney will provide senior-level legal and regulatory counsel to support to the property and casualty insurance company's U.S. domestic insurance regulatory function. This position reports directly to the General Counsel and works closely with senior management, the compliance function, and business unit leaders across the organization.
Key Responsibilities:
Provide senior-level legal and regulatory support for the organization's U.S. property and casualty insurance operations, including admitted and surplus lines matters. Advise on compliance with U.S. state insurance holding company laws, market conduct standards, rate and form filing requirements, and other insurance department regulations. Manage the insurance regulatory licensing function to ensure timely and accurate compliance with company, agency, producer, and adjuster licensing, reporting, and filing requirements across U.S. jurisdictions. Serve as primary or supporting legal contact with state insurance departments and the National Association of Insurance Commissioners (NAIC) in connection with financial examinations, market conduct examinations, regulatory inquiries, and investigations. Provide legal support for corporate transactions affecting the organization's U.S. insurance entities, including mergers and acquisitions, reinsurance transactions, restructurings, redomestications, insurance holding company act filings, including Forms B, C D and F filings, and other change-of-control or affiliate transaction filings. Draft, review, and negotiate commercial contracts, including managing general agent (MGA) agreements, program agreements, third-party administrator agreements, vendor agreements, and other insurance-related commercial arrangements. Advise on corporate governance matters for U.S. insurance subsidiaries, including board and committee matters, corporate formalities, and governance-related regulatory requirements. Assist in the formation and licensing of new U.S. insurance entities, including incorporation, certificate of authority applications, and expansion of lines of authority. Qualifications/ExperienceJ.D. from an accredited law school and active membership in good standing in at least one U.S. state bar. Relevant legal experience, with substantial experience in U.S. insurance regulatory and transactional law gained at a law firm, insurance company, and/or state insurance department; property and casualty insurance experience strongly preferred. Demonstrated experience handling insurance regulatory filings, licensing matters, and interactions with state insurance departments and the NAIC.
