About the role

To support its corporate group, a full-time remote Washington Licensed Corporate Attorney will focus on representing emerging growth companies and institutional investors, handling venture capital financings, M&A transactions, and corporate governance matters. Key responsibilities Manage and oversee venture capital financings and M&A transactions while ensuring compliance with corporate governance standards Mentor and supervise junior lawyers and staff, fostering positive relationships and anticipating clients' needs Produce timely and accurate legal deliverables, effectively communicating with clients and colleagues to meet deadlines Required qualifications Juris Doctor (JD) degree 5-8 years of experience in Emerging Growth/Venture Capital, preferably with AmLaw 100 firms Familiarity with standard emerging growth and venture capital forms, including NVCA and Y Combinator Experience in negotiating and managing preferred stock financings and conducting due diligence on M&A transactions Proven ability to advise clients on various corporate governance matters
