Job Summary: Under attorney supervision, the Paralegal I is responsible for providing legal and transactional support to FM and its affiliates and subsidiaries, including Hobbs Brook Real Estate LLC (“HBRE”). The role supports mergers and acquisitions (other complex commercial transactions), domestic and international real estate matters, investment transactions, due diligence, and regulatory compliance. The Paralegal I manages assigned matters and projects with appropriate independence, identifies and escalates legal and business risks, and supports the development of practical solutions for the Transactions Advisory Group. The role requires a working knowledge and understanding of M&A, real estate, investment transactions and business practices, strong project management, sound judgment, attention to detail, and effective collaboration with senior management and internal business units, insurance professionals, government authorities, counterparties, and outside counsel. The Paralegal I must stay current on relevant laws, regulations, industry practices, technology, and legal resources. Location & Schedule This is a full-time, office-based position located in Boston, MA (South Station Tower). The role is eligible for one remote workday per week, subject to business needs. This is a non-exempt hourly paid position. Due to the global nature of the work, the Paralegal must be available to participate in occasional meetings outside of standard business hours.
Travel Requirements: Occasional travel may be required to Providence, RI or Norwood, MA.
Responsibilities: Investments Support asset management and private investment transactions. Review side letters and other investor fund-related materials, track outstanding items in anticipation of fund closings, effectively communicate updates to internal teams and prepare due diligence summaries for attorney review. Corporate Mergers & Acquisitions Maintain large volumes of transactional documents, manage data-rooms, conduct due diligence, including tracking and summarizing key findings, review entity and organizational records, draft and organize checklists, prepare transaction documents, communicate with internal business partners, counterparties, outside counsel, and third parties to facilitate transaction execution, provide integration support, and track timelines and key deliverables to ensure timely completion of transactions. Real Estate Support FM corporate and HBRE commercial real estate matters from intake through completion, assist in preparing and reviewing leases and related lease documents, perform due diligence and maintain data-rooms for real estate acquisitions and dispositions, review title materials and summarize exceptions, review zoning and permitting requirements, assist with construction contracts and property management matters, coordinate with internal business partners and external transaction participants, identify and escalate material risks, and ensure timely completion of transactions. Matter Management Maintain the department’s matter management and document repository systems, and perform related administrative and operational support as required. Special Projects Support transactional compliance initiatives, training and special projects. Legal Research Research and analyze statutes, case law, and regulations affecting investments, corporate mergers and acquisitions, real estate, and corporate governance.
Qualifications: Required Work Experience 1-5 years of relevant work experience in a large corporate environment or medium-to-large law firm Highly Preferred Work Experience Work experience in a matrixed organization Highly Preferred Education Bachelors Degree Paralegal Certificate
Required Skills: Excellent verbal and written communication skills with experience working with sensitive and confidential information The ability to perform electronic legal research; familiarity with Practical Law/Westlaw Advanced computer Word, Excel, Power Point and Outlook and organizational skills Ability to communicate clearly and effectively Ability to work cohesively in a team environment as well as the ability to work independently with guidance and supervision by an attorney Ability to prioritize, multitask and manage several projects at once with oversight by an attorney Detail oriented Knowledge of legal terminology and principles The final salary offer will vary based on individual education, skills, and experience.
