About the role

A leading boutique law firm is seeking a Senior M&A Associate to join its nationally recognized Corporate practice. This is an opportunity to work directly with high-growth technology companies, founders, investors, and executive teams on sophisticated strategic transactions while enjoying the flexibility of a fully remote platform and a significantly lower billable hour requirement than traditional Big Law. The firm offers attorneys meaningful client contact, substantial responsibility, and a clear path for long-term growth, including partnership opportunities for the right candidate.
Responsibilities: Lead strategic M&A transactions from letter of intent through closing with limited partner supervision. Draft, review, and negotiate merger agreements, stock purchase agreements, asset purchase agreements, letters of intent, term sheets, and other transaction documents. Manage all phases of complex domestic and cross-border M&A transactions, including due diligence, deal execution, and closing. Serve as the primary point of contact for clients throughout the transaction process. Advise founders, venture-backed companies, and strategic buyers on mergers, acquisitions, divestitures, and other corporate transactions. Collaborate with specialists across tax, employment, intellectual property, and regulatory matters. Provide general corporate and emerging company counseling as needed.
Qualifications: J.D. from an accredited U.S. law school with strong academic credentials. Active bar membership in at least one U.S. jurisdiction.9–15 years of experience practicing corporate M&A at a top law firm. Significant experience leading sophisticated strategic M&A transactions. Strong drafting and negotiation experience with merger agreements, stock purchase agreements, asset purchase agreements, letters of intent, and related transaction documents. Experience representing technology companies, founders, or venture-backed businesses. Ability to independently manage multiple transactions while maintaining exceptional client service. Excellent communication, analytical, and project management skills.
Preferred Qualifications: Experience handling sell-side technology transactions. Background advising venture-backed and high-growth companies. Demonstrated experience serving as the day-to-day lead on transactions. Prior exposure to emerging companies and venture capital matters.
